| Dialog Acquires ACCESS TESTING |
|
On July 2, Dialog acquired 100% of the equity in Access Testing Pty Ltd. Access Testing (“ATC”) is Australia’s leading independent testing centre, offering a range of testing services from specific assessment of performance and quality through to a complete outsourced managed testing service. ATC’s main office is in Sydney where it has a comprehensive testing laboratory, with a secondary lab in Melbourne and an office in Brisbane. Going forward, Access Testing will continue to operate as a separate organisation in much the same way that our other subsidiary companies such as Business Catalyst and Ice Media operate. ATC was formed in 1995 as part of an Australian Government and universities sponsored initiative, with the aim of promoting best practices and high standards in the IT industry. The company became independent of government funding in December 2002 and was acquired by its current management in a buy-out in December 2003. ATC employs around 60 people. Revenue has grown steadily over the last five years and is forecast to be approximately $8m in the year to 30 June 2007 and over $10m in 2008. Access has a high profile client base including 11 of the top 20 ASX listed companies and a number of major government agencies. The market for independent testing services has grown rapidly in recent times, and we believe that this growth will continue to accelerate well into the future. There is great potential for synergy between Dialog and its various activities and subsidiary companies and the services that Access Testing provides. Capitalising on our combined strengths, we intend to rapidly grow Access into the pre-eminent brand for diversified independent testing services in Australia and the Asia Pacific region. With this latest acquisition and the strong organic growth we are achieving, the Dialog group now employs around 600 people and is anticipating revenue in excess of $80 million this financial year.
